1. Agreement to Terms

By accessing or using the Celium Systems website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or engage our services.

Celium Systems ABN 54 692 616 461 ("we", "us", "our") provides AI systems consultancy services, including the design, deployment, and ongoing management of intelligent operational systems for businesses.

2. Services

We provide consulting, design, and implementation services related to intelligent operational systems, workflow automation, system integration, and process optimisation. The specific scope, timeline, and deliverables for each engagement will be documented in a separate Statement of Work (SOW) or proposal agreed upon by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where applicable.

3. Engagement & Payment

  • All engagements are subject to a signed proposal or SOW that outlines the scope, fees, payment schedule, and terms specific to the project.
  • Payment terms will be specified in the relevant proposal. Invoices not paid within the agreed timeframe may incur late fees.
  • All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
  • Either party may terminate an engagement in accordance with the terms outlined in the signed proposal or SOW.

4. Intellectual Property

  • All intellectual property developed specifically for you during an engagement will be assigned to you upon full payment, unless otherwise agreed in writing.
  • We retain ownership of any pre-existing tools, frameworks, methodologies, or general knowledge that we bring to or develop independently of your engagement.
  • We may use general, non-confidential knowledge gained during an engagement to improve our services and methodologies.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This includes, but is not limited to, business processes, system designs, technical documentation, and financial information.

This obligation survives the termination of any engagement and remains in effect unless the information becomes publicly available through no fault of the receiving party.

6. Website Use

When using our website, you agree not to:

  • Use the site for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the website, server, or connected systems
  • Submit false, misleading, or malicious content through any form or input field
  • Use automated tools (bots, scrapers) to access or collect data from the website without our prior written consent
  • Interfere with the website's functionality or the experience of other users

7. Limitation of Liability

To the maximum extent permitted by law, Celium Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

8. Warranties & Disclaimers

We provide our services with reasonable care and skill, consistent with industry standards. However, we do not guarantee specific outcomes, results, or return on investment, as these depend on factors beyond our control.

Our website and its content are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Our website may contain links to third-party websites or services (such as Calendly for scheduling). We are not responsible for the content, privacy practices, or terms of any third-party services. Use of third-party services is at your own risk and subject to their respective terms and conditions.

These Terms of Service are governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of New South Wales.
